Terms and Conditions
Effective and last updated September 28, 2026
These Terms govern access to Luna X Royalties, a royalty-data and catalog intelligence service from Luna x Studios. They are designed for labels, artists, rightsholders, managers, and other music professionals. Please read them before creating an account, inviting a user, or uploading data.
1. Agreement and operator
By creating an account, accepting an invitation, signing an order, uploading information, or using Luna X Royalties (the Service), you agree to these Terms and the policies referenced in them. If you use the Service for a company, label, artist, or other organization, you confirm that you have authority to bind it.
The Service is provided by the Luna x Studios entity identified in the applicable order, service agreement, invoice, or account notice. This may be L'Una Music Group LLC in the United States or L'Una Studios LTDA in Brazil. That entity is the Operator. The organization receiving the Service is the Customer.
If a signed order, statement of work, or other written agreement conflicts with these Terms, that document controls only for the conflicting subject and only for the services it covers.
2. Eligibility and business authority
You must be at least 18 years old, have legal capacity to enter a binding agreement, and use the Service for lawful professional or business purposes. If you are acting for a Customer, you represent that you are authorized to administer its workspace and submit its data.
You must not create an account for another person without authority, misrepresent your identity or rights, or use the Service where doing so would violate applicable law, sanctions, contractual restrictions, or third-party rights.
3. Organizations, owners, and users
Each workspace belongs to a Customer organization. The first authorized account holder may be designated as Owner. Owners and authorized administrators can invite users, assign roles and data scopes, suspend access, and configure permissions. The Customer is responsible for deciding who may access financial, catalog, artist, split, payment, file, and analytics information.
Each user must use an individual account. Credentials may not be shared. A user may access only the organizations, modules, and records allowed by their role and data scope. The Customer remains responsible for acts performed through its accounts and must promptly revoke access when a user's authority ends.
At least one Owner must remain associated with an active organization. Ownership transfer and changes to sensitive permissions may require additional verification.
4. Account security
You must provide accurate account information, maintain a strong password, protect recovery codes, and keep contact information current. Multi-factor authentication may be required for specified roles or sensitive actions. You are responsible for activity completed through your account unless caused by the Operator's breach of its obligations.
Notify [email protected] promptly if you suspect unauthorized access, credential compromise, or an incorrect permission assignment. We may revoke sessions, require reauthentication, reset security factors, or temporarily restrict access to protect the Service and its users.
5. Service license and availability
Subject to these Terms and any applicable order, the Operator grants the Customer a limited, non-exclusive, non-transferable, revocable right for its authorized users to access the Service during the applicable term. The Service may include report import and validation, catalog matching, persistent royalty splits, allocation calculations, participant balances, payment records, files, analytics, exports, support, and access administration.
Features, data-source mappings, limits, and interfaces may change as the Service develops. We may perform maintenance, introduce security controls, correct errors, or discontinue a feature. We will provide reasonable notice of a material reduction to paid functionality where practicable and required by the applicable agreement.
6. Royalty reports and source data
You may upload royalty statements and related information from distributors, publishers, PROs, CMOs, neighboring-rights organizations, social and UGC platforms, sync partners, and other sources. You retain ownership of submitted files and data. You grant the Operator the limited rights needed to receive, store, copy, parse, normalize, validate, match, calculate, display, back up, secure, and support that data for the Customer.
You represent that you have the rights, notices, consents, and lawful basis required to provide the data, including personal information about artists, writers, beneficiaries, employees, and payees. Do not upload data the Customer is not authorized to process.
Source reports differ in format and quality. The Service may flag missing fields, duplicate rows, currency differences, reconciliation variances, or unsupported columns. The Customer must review import summaries and exceptions before relying on results. The Operator is not responsible for errors already present in a source report or for omitted information that the source did not provide.
An authorized user with the required permission may permanently delete an imported report from the active workspace. Deletion removes its imported transactions and may also remove tracks, artists, permission grants, and split versions left unused by all other retained records. Shared records remain where another report, participant, file, permission scope, or user association still depends on them. Participant profiles and the audit event recording the deletion are retained. Backup, security, legal, and compliance copies may remain for a limited period or as otherwise required.
7. Catalog matching, artist profiles, and metadata
The Service may match transactions to tracks, recordings, works, releases, artists, or beneficiaries using identifiers and metadata such as ISRC, ISWC, UPC, title, artist, and source-specific codes. Automated and manual matching may be used. Artist and participant records may share one linked identity when they refer to the same person or organization.
An authorized user may search for or link a public Spotify artist profile by name, URL, URI, or identifier. The Service may store the Spotify artist ID, profile URL, name, image URL, and other public fields returned by Spotify. This feature does not prove identity, ownership, representation, or control of the Spotify profile, and it does not authorize access to a user's private Spotify account.
The Customer is responsible for reviewing uncertain matches, aliases, duplicate catalog entries, selected Spotify profiles, ownership information, and corrections. A match, profile link, or suggestion made by the Service does not establish legal ownership, authorship, registration, representation, or entitlement.
8. Persistent splits and allocations
Authorized users may create effective-dated split agreements for catalog entities and report sources. Active splits may be applied automatically to later matching transactions. Prior versions and allocations are preserved so that a change to a current split does not silently rewrite historical results.
The Customer is solely responsible for confirming the contractual authority, participants, percentages, company fees, calculation bases, effective dates, territories, rights domains, source scopes, and other rules entered into the Service. The Service's validation that shares total 100 percent is a mathematical control, not legal approval of the agreement.
A split recorded in the Service is an operational record. It does not replace a signed contract, amend an external agreement, resolve an ownership dispute, or constitute legal advice. If a split is disputed, the Customer should suspend or correct future application as appropriate and preserve supporting documentation.
9. Balances and payments
Participant ledgers, balances, paid amounts, and payment records are calculated from available transactions, active split versions, adjustments, and entries made by authorized users. They are internal accounting tools and must be reconciled against source statements, contracts, bank records, tax records, and any applicable withholding obligations.
Unless a separate written agreement expressly says otherwise, the Operator does not hold Customer funds, initiate payouts, act as a bank or payment processor, collect royalties on the Customer's behalf, prepare tax filings, or guarantee that a participant has been paid. Recording a payment in the Service does not move money.
10. Currency and calculations
The Service may preserve transactions in their original currencies and may also display converted or consolidated amounts. Converted totals depend on the exchange-rate source, rate date, rounding method, report period, and configuration shown in the Service. Original-currency amounts remain the primary reference for reconciliation unless an applicable agreement states otherwise.
Gross royalty, net royalty, fees, taxes, reserves, adjustments, and units are interpreted from the fields provided by each source and the mapping selected during import. The Customer must verify that the chosen revenue basis reflects the source statement and its accounting policy.
11. Analytics, estimates, and opportunities
Analytics, trends, comparisons, forecasts, catalog health indicators, and valuation ranges depend on the data made available to the Service. They are informational estimates, may be incomplete or delayed, and are not an audit, appraisal, tax opinion, investment advice, legal advice, or guarantee of future revenue.
A funding, advance, acquisition, distribution, publishing, management, or marketing inquiry does not create an offer, commitment, fiduciary relationship, agency, or obligation to transact. Any opportunity is subject to separate review, diligence, approvals, and signed terms.
12. No collection authority or power of attorney
Uploading a report or using the Service does not authorize the Operator to access a third-party royalty account, register works, administer rights, collect revenue, submit claims, negotiate licenses, or act under a power of attorney. Any such service must be described in a separate written agreement signed by the relevant parties.
13. Customer content and instructions
The Customer remains responsible for its content, instructions, permissions, and decisions. The Operator may rely on instructions from an Owner, administrator, or other user who appears authorized under the Customer's configured access controls.
You may request corrections or deletion subject to contractual, legal, backup, security, audit, and financial-record requirements. When the report-deletion function is used, the active report data and orphaned catalog or split data are removed as described in Section 6, while participant profiles and an audit record of the deletion remain. We may preserve payment records, audit events, backup copies, and related evidence where deletion would undermine security or accounting integrity or where retention is required by law.
14. Service data and feedback
We may generate operational data about performance, feature use, security, and support. We may use information that has been aggregated or de-identified so that it does not reasonably identify a Customer or person to operate, secure, measure, and improve the Service.
If you provide suggestions or feedback, you grant the Operator a worldwide, perpetual, royalty-free right to use it without obligation to you, provided that doing so does not disclose the Customer's confidential data.
15. Confidentiality
Each party must use reasonable care to protect non-public business, technical, financial, and catalog information received from the other and use it only for the relationship. Confidential information does not include information that is public without breach, already lawfully known, independently developed, or lawfully received without restriction.
Disclosure may be made to personnel and service providers with a need to know and confidentiality duties, or when required by law. When legally permitted, the receiving party will give reasonable notice before compelled disclosure.
Unsolicited demos, catalog proposals, and business submissions are not confidential unless a separate written confidentiality agreement applies.
16. Fees, billing, and taxes
Fees, usage limits, currency, billing frequency, and the service term are stated in the applicable order or plan. You authorize the stated payment method to be charged when due. The Customer is responsible for applicable taxes other than taxes on the Operator's net income, and for accurate billing information.
Renewal, cancellation, credits, and refunds follow the applicable order and mandatory law. No automatic renewal or non-refundable commitment applies unless it is disclosed before purchase. Overdue amounts may result in restricted access after notice, subject to applicable law.
17. Acceptable use
You may not:
- upload unlawful, fraudulent, malicious, or unauthorized content;
- misrepresent ownership, identity, payment status, or contractual entitlement;
- access another organization or user outside your permitted scope;
- probe, bypass, disable, or interfere with authentication, permissions, rate limits, audit logs, or security controls;
- reverse engineer the Service except where law expressly permits it;
- introduce malware, scrape protected areas, overload infrastructure, or use automated access without written authorization;
- use the Service to infringe privacy, intellectual-property, contractual, or other legal rights; or
- use outputs to make unlawful discriminatory or deceptive decisions.
We may investigate suspected misuse and preserve relevant records.
18. Intellectual property
The Service, software, interface, documentation, branding, and original content are owned by or licensed to the Operator and protected by law. Except for the limited access right in these Terms, no right or license is transferred. Third-party names and marks belong to their respective owners and do not imply endorsement.
You may not remove notices, copy substantial protected portions, resell access, create a competing service from protected elements, or use Luna x Studios branding without written permission.
19. Third-party services and integrations
The Service may receive files from, link to, or interoperate with distributors, societies, digital platforms, identity providers, analytics tools, storage providers, and other third parties. Current integrations may include Google sign-in, Google Tag Manager, Google Analytics 4, Cloudflare Turnstile, Spotify Web API artist lookup, and Meta Pixel. Those services are independent and governed by their own terms and privacy practices.
Google sign-in requests only basic identity scopes and does not create an account unless a matching active user already exists. Spotify artist lookup uses server credentials and public artist data, not a user's private Spotify account. Analytics and Meta Pixel operate according to the optional choices described in the Cookie Policy. Cloudflare Turnstile is used as an essential anti-abuse control on protected forms.
We do not control third-party availability, report formats, calculations, API changes, account decisions, or data changes. A provider may change, restrict, deprecate, or discontinue fields or access. References to a provider do not imply sponsorship, affiliation, or verification by that provider.
20. Privacy, security, cookies, and communications
Our Privacy Policy describes personal-information processing, and our Cookie Policy identifies essential storage, Google Tag Manager and Analytics, Meta Pixel, Cloudflare Turnstile, Google sign-in, consent controls, and Global Privacy Control handling. Optional Analytics and Marketing technologies remain subject to the choices presented on the device.
The Customer must use roles, data scopes, file visibility, multi-factor authentication, session review, and activity logs appropriate for the sensitivity of its data. Downloaded PDF and CSV exports leave the Service's access controls and must be stored and shared securely by the Customer.
You agree to receive service, security, billing, legal, and account communications electronically. Marketing messages may be declined through the provided preference or unsubscribe control.
21. Suspension and termination
We may suspend or limit access when reasonably necessary to address a security threat, unlawful use, material breach, non-payment, legal request, or risk to other users. Where appropriate, we will provide notice and an opportunity to cure.
The Customer may end use in accordance with its order. On termination, access rights end. Data export and deletion are subject to the applicable agreement, Privacy Policy, technical backup cycles, and retention needed for legal, tax, security, dispute, and financial-integrity purposes.
Terms concerning ownership, confidentiality, payment obligations, disclaimers, liability, indemnity, dispute resolution, and records survive where their nature requires.
22. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." The Operator does not warrant uninterrupted or error-free operation, recovery of royalties, accuracy of third-party data, universal compatibility with every report format, or any commercial, funding, tax, legal, or accounting result.
No output should be the sole basis for paying participants, signing an agreement, valuing a catalog, filing taxes, or making a material financial decision. Appropriate review by qualified accounting, legal, tax, or music-rights professionals remains the Customer's responsibility.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
23. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data, arising from the Service, even if advised that such loss was possible.
Except for liability that cannot legally be limited, the Operator's total aggregate liability arising from the Service will not exceed the fees paid or payable by the Customer for the Service during the 12 months before the event giving rise to the claim, or US$100 if no fee was paid.
These limitations do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, violation of intellectual-property rights, payment obligations, or other liability that applicable law does not permit a party to limit.
24. Indemnity
To the extent permitted by law, the Customer will defend and indemnify the Operator and its personnel against third-party claims, damages, and reasonable costs arising from Customer content, missing rights or notices, unlawful instructions, misuse of the Service, or breach of these Terms. The Operator will provide reasonable notice and cooperation, and the Customer may not settle a claim in a way that admits fault or imposes obligations on the Operator without consent.
25. Governing law and disputes
The governing law, courts, and any agreed dispute process are identified in the applicable order, service agreement, or invoice based on the contracting entity. Before filing a formal claim, the parties should send written notice describing the issue and try in good faith to resolve it for at least 30 days, unless urgent injunctive relief is reasonably necessary.
Mandatory consumer, employment, privacy, or other statutory rights and venues remain unaffected. If no document identifies the contracting entity or governing law for a paid service, contact [email protected] before purchase.
26. General terms
Neither party is liable for delay caused by events outside its reasonable control, except payment obligations. The Customer may not assign these Terms without written consent, except with a merger or sale of substantially all relevant assets if the assignee accepts these Terms. The Operator may assign them to an affiliate or successor in connection with a reorganization or sale.
Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Headings are for convenience. These Terms, the Privacy Policy, applicable orders, and signed supplemental agreements form the entire agreement concerning the Service and replace prior discussions on that subject.
27. Changes and contact
We may update these Terms to reflect legal, security, operational, or Service changes. We will post the revised date and provide additional notice of material changes where required. Continued use after the effective date means acceptance, unless applicable law requires another form of consent.
